Nonprofit Mergers & Acquisitions: Membership Substitution Transaction

After nearly 11 months of complex negotiations involving at least four New York law firms (and one Chicago firm) and a powerful union, our not-for-profit client became the sole corporate member of a leading not-for-profit New York dialysis provider on December 30, 2011. The transaction helped to save more than 100 jobs and to ensure that 500 dialysis patients in New York will continue to receive needed health care. Nearly 30 Verrill Dana timekeepers in more than 10 practice groups helped earn our client’s accolades for a “masterful” job.
