Barbara is a business and transactional lawyer, counseling clients in all facets of their business. Her practice includes business acquisitions, divestitures and joint ventures, securities law (for both public and private companies), entity formation and governance, financings, commercial contracts, technology licensing, and general business counseling.

She represents a diverse group of clients ranging from start-ups to seasoned international companies, in industries such as specialty chemicals, information technology, commercial equipment manufacturing, and emerging growth and service companies.

Barbara has served as outside "in-house" counsel for a variety of client businesses, either on an interim or continuing basis. These assignments provide clients’ in-house legal departments the ability to supplement existing capabilities on a short-term or longer term basis with a business lawyer who has experience functioning as part of an in-house team.

Representative matters that she has handled recently include:

  • Acquisition of SeaKlear specialty chemical product line of pool treatment products from HaloSource Inc., strategically positioning client to offer multiple specialty chemical brands to the pool product market.
  • Acquisition of Bolt Technology Corporation by Teledyne Industries Inc. for $191 million enterprise value. Handled negotiation of stock purchase agreement and related agreements, ’34 Act proxy statement preparation and SEC filings, worked with board and investment banker regarding transaction evaluation and fairness opinion, counseling as to board fiduciary duties, proxy solicitation and stockholder meeting. Worked with litigation counsel in timely resolution of plaintiffs’ strike suits challenging the fairness of the transaction.
  • Sale of 100% of equity interests in specialty fashion manufacturer for purchase price in excess of $100 million, including management equity rollovers. Transaction was negotiated through a multi-round bid process, and required successful agreement from three divergent classes of equity. Transaction also involved coordination with local counsel for Company’s locations in Canada, Mexico, Europe, Indonesia and China, particularly with respect to governance, regulatory and labor matters.
  • Sale of a specialty infrared analytic instruments company to synergistic buyer. The client was a company that Barbara had advised from formation 20 years ago and during its development through to strategic sale.
  • Sale of market leading connectivity mobile device data app for iPhone, BlackBerry, Samsung and other Android devices to BlackBerry. Barbara continues to counsel the seller in its ongoing information technology business and new product development.
  • Senior loan facility providing financing for client’s operating needs as well as ongoing acquisition financing, including asset-based credit facility, and real estate and intellectual property secured term loans.
  • Corporate governance and strategic advice to technology client dealing with dissident Series A preferred stockholders, resulting in successful redemption in full of their interests and repositioning of client for expansion.
  • Recapitalization of privately held specialty chemical company to provide succession planning for original founder, and deliver growth and investment opportunity to management.
  • Private offering of interests in company investing in distilled alcohol products.
  • SEC '33 and '34 Act securities matters for NASDAQ listed issuer.
  • Multi-year stint advising the U.S. and European operations of a specialty chemical electronic materials manufacturing division of a diversified NYSE company. This relationship originated as a temporary assignment when the division’s existing in-house business lawyer left, and continued over a multi-year period, including after sale of the division to a Japanese multi-national company.

Barbara previously practiced at Kelley, Drye & Warren, and was in-house Corporate Counsel at The Daseke Group, Inc. advising on corporate and commercial matters, institutional financing facilities and private equity transactions.

Barbara resides in Southport, Connecticut, where she is active with several community associations focused on preserving the Southport community, its historic district area and its harbor. She has also served as a trustee of Southport’s Pequot Library Association, one of the oldest private libraries remaining in the country.

Barbara’s husband, Jim, works for a wine importer and distributor. This increases their popularity as invitees to dinner parties – provided that they bring wine.
